Member NVOCC access to all North Atlantic Alliance
Association, Inc. ("NAAA") confidential service contract
information contained on this Web site is subject to
the following terms and conditions. All NAAA service
contracts are subject to the Shipping Act of 1984, as
amended by the Ocean Shipping Reform Act of 1998.
- Each member NVOCC of the NAAA that accesses confidential
rate information from the NAAA Internet site (www.naaai.com)
acknowledges that it does not currently have a contract
with the individual line, agreement of carriers, or
conference of carriers in question in the trade or
trades in question, and if it does enter a service
contract with such carrier, agreement, or conference
within 60 days, it will advise the NAAA;
- If the individual NAAA members does have a contract
with the line, agreement of carriers, or conference
of carriers that member will inform the NAAAis Office
of the Executive Managing Director and Legal Counsel
that, due to an existing independent contract with
the subject line, it does not have any interest in
supporting the subject service contract;
- NAAA member accessing confidential service contract
information agree to the terms and conditions of each
Confidentiality Clause in the NAAA service contracts;
- In general, NAAA members accessing confidential
rate information agree not to disseminate rate information
to any unauthorized third party;
- Unauthorized dissemination includes other ocean
carriers that provide competing service in a given
trade lane, any group of carriers, agreements of carriers,
or conference of carriers that is not party to a service
contract;
- Unauthorized dissemination also includes any party
affiliated with a "discussion agreement" of carriers,
including the governing body of the discussion agreement,
member lines of the discussion agreement, or any agent
of either the discussion agreement and member lines
of the discussion agreement;
- Members will not disseminate confidential contract
information to any nonmember of the NAAA, such as
other Non-Vessel-Operating Common Carriers, that may
result in breach of a Confidentiality Clause of a
subject service contract;
- Except for authorized tariff publishing agents acting
on behalf of a member NVOCC in compliance with the
Shipping Act of 1984, as amended, no member is authorized
to disclose confidential rate information to any third
party;
- Each member NVOCC will provide a list to the NAAA
of AUTHORIZED individual employees of the member that
will have access to the NAAA Internet site. Any change
to the list, such as termination of employment, will
be immediately provided to the NAAA;
- Each member will provide the NAAA Office of the
Executive Managing Director and Legal Counsel with
periodic updates of authorized overseas agents that
are entitled to make bookings pursuant to NAAA service
contracts.
Noncompliance by any member NVOCC with any of the above
Membership Terms and Conditions may result in immediate
suspension of shipping privileges on all service contracts
and may constitute grounds for termination of NAAA membership.
Violations of the Terms and Conditions are subject to
review by the Executive Managing Director, Legal Counsel,
and the Board of Directors.
Membership Terms and Conditions are subject to future,
periodic revisions by the Office of the Executive Managing
Director and Legal Counsel.
